2. Purpose and Scope

These Terms aim to define the terms and conditions of use of the AI chatbot creation services offered by PRISMIA, hereinafter referred to as "the Services".

The Services include:

  • Automatic website analysis
  • Personalized AI chatbot creation
  • Chatbot deployment and integration
  • Adjustment and customization services
  • Technical support

3. Acceptance of Terms

Using the Services implies full acceptance of these Terms. Any use of the Services for professional or personal purposes constitutes acceptance of these conditions.

If you do not accept these conditions, you must not use our Services.

4. Access Conditions

Minimum age: Use of the Services is reserved for persons aged at least 18 years or having authorization from their legal representatives.

Legal capacity: You declare that you have the legal capacity necessary to contract and use the Services.

5. Service Description

5.1 Creation Process

  • Automatic analysis of your website via our scraping technology
  • Extraction of information about your products, services, tone and values
  • Automatic generation of a personalized AI chatbot
  • Free 14-day trial period
  • Personalized adjustments included in the service

5.2 Technical Limitations

If we cannot properly analyze your website for technical reasons (inaccessible site, protected content, incompatible structure), you will be immediately informed. In this case, no fees will be charged.

5.3 Trial Period

A free 14-day trial period is offered to test the created chatbot. No commitment is required during this period.

6. Pricing and Billing

6.1 Service Price

  • Setup and adjustment fees: €500 excl. VAT
  • Trial period: 14 days free
  • Billing: Fees are only due after service validation at the end of the trial period

6.2 Included Adjustment Services

Setup fees include up to 1 day of work for the following adjustments:

  • Modification of the 3 automatically generated starter questions
  • Customization of logo, colors and font
  • Adjustment of chatbot texts
  • Modification of communication tone
  • Addition of products not detected during initial scraping

6.3 Payment Terms

Payment is due after service validation by the client at the end of the trial period. Invoices are payable within 30 days of receipt.

7. Client Obligations

7.1 Website Ownership

You commit to only request chatbot creation for:

  • A website that you own, or
  • A website for which you have express authorization from the owner

7.2 Compliance with Legislation

You commit to:

  • Respect all applicable laws and regulations
  • Not use the service for illegal or fraudulent purposes
  • Not infringe on third party rights
  • Respect intellectual property rights

7.3 Information Provided

You guarantee the accuracy and truthfulness of the information you provide to us and commit to keep us informed of any changes.

8. PRISMIA Obligations

PRISMIA commits to:

  • Provide a service compliant with announced specifications
  • Respect creation deadlines (15 minutes for initial analysis)
  • Provide technical support during the adjustment period
  • Protect the confidentiality of your data
  • Inform of any technical limitations preventing service completion

9. Liability Limitations

9.1 Liability Exclusions

PRISMIA cannot be held responsible for:

  • Damages that the chatbot could cause through inappropriate responses
  • Loss of revenue or clientele
  • Service interruptions due to external causes
  • Incorrect use of the chatbot by your clients
  • Content automatically generated by AI

9.2 Amount Limitation

In any case, PRISMIA's liability is limited to the amount of sums actually received under the relevant contract.

10. Intellectual Property

The created chatbot and its source code remain the property of PRISMIA. You have a non-exclusive right of use on the chatbot for your website.

You retain all rights to your content, data and brands used for chatbot creation.

11. Termination

11.1 Termination by Client

You can stop using the chatbot at any time. No particular procedure is required during the trial period.

11.2 Termination by PRISMIA

PRISMIA may terminate the service in case of non-compliance with these Terms, with 30 days notice except in cases of serious violation.

11.3 Effects of Termination

In case of termination, the chatbot stops working and associated data is deleted in accordance with our privacy policy.

12. Terms Modifications

PRISMIA reserves the right to modify these Terms at any time. Important changes will be notified to you by email at least 30 days before they take effect.

Continued use of the Services after notification constitutes acceptance of the new conditions.

13. Force Majeure

PRISMIA cannot be held responsible for any delay or failure to meet its obligations resulting from a case of force majeure as defined by French jurisprudence.

14. Applicable Law and Jurisdiction

These Terms are subject to French law. In case of dispute, and after attempting amicable resolution, the courts of Paris shall have sole jurisdiction.

After prior written approach by consumers to PRISMIA, the Mediator Service can be contacted for any consumer dispute whose resolution would not have succeeded.
